1. Acceptance of Terms

By accessing or using the QuePay website (https://quepay.co.ke), mobile applications (consumer and merchant apps), merchant dashboard, hardware devices (Smart ATM Controller – PLC, embedded or handheld versions), NFC cards, or any QuePay service (collectively the “QuePay Service”), you agree to be bound by these Terms & Conditions.

If you do not agree, you must immediately cease using the QuePay Service.

2. Definitions

  • “We”, “Us”, “Our” – QUEPAY LTD, a company registered in Kenya.
  • “You”, “Your” – the individual or entity using the QuePay Service.
  • “Merchant” – a business that has registered to accept payments via QuePay hardware or platform.
  • “User” – an individual using the QuePay consumer mobile app and/or NFC cards.
  • “Service” – all QuePay websites, apps, dashboards, hardware, APIs, NFC cards, and payment processing services.

3. Eligibility

You must be at least 18 years old and have full legal capacity to use the QuePay Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@quepay.co.keof any unauthorised use.

5. Licence Granted to You

QuePay grants you a limited, non-exclusive, non-transferable, revocable licence to use the QuePay Service strictly in accordance with these Terms. You may not:

  • Reverse engineer, decompile, or disassemble any part of the Service or hardware.
  • Modify, create derivative works, or attempt to extract the source code.
  • Rent, lease, sell, or commercially exploit the Service.
  • Remove or alter any copyright, trademark, or proprietary notices.

6. Permitted & Prohibited Use

You agree not to use the QuePay Service for any unlawful purpose or in any way that:

  • Violates Kenyan law or any applicable regulation (including anti-money laundering laws).
  • Infringes intellectual property rights.
  • Introduces viruses, malware, or harmful code.
  • Interferes with or disrupts the Service or servers.
  • Attempts to gain unauthorised access to accounts or systems.

7. Payments & Transaction Rules

  • All transactions are processed via Safaricom M-Pesa or approved channels.
  • You authorise QuePay to initiate transactions on your behalf when you tap an NFC card, scan a QR code, or confirm payment.
  • Transactions are final and irreversible once completed on the M-Pesa network.
  • Merchants are responsible for any chargebacks, disputes, or refunds according to their own policies.

8. Fees

QuePay may charge transaction fees, hardware rental/purchase fees, subscription fees, or service fees as displayed in the merchant dashboard or agreed in writing. We reserve the right to change fees with reasonable notice.

9. Intellectual Property

The QuePay name, logo, software, hardware designs, and all related intellectual property are owned by QUEPAY LTD or its licensors. Nothing in these Terms grants you any rights beyond the limited licence in clause 5.

10. Termination

We may suspend or terminate your access immediately, without notice, if you breach these Terms, engage in fraudulent activity, or if required by law or Safaricom.

11. Limitation of Liability

To the maximum extent permitted by Kenyan law, QuePay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profit or data, arising from your use of the Service, even if advised of the possibility.

Our total liability in any matter arising from these Terms shall not exceed the total fees you paid to QuePay in the 3 months preceding the claim.

12. Disclaimer of Warranties

The QuePay Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

13. Force Majeure

QuePay shall not be liable for failure to perform any obligation due to events beyond our reasonable control, including but not limited to network outages, Safaricom downtime, power failures, or acts of God.

14. Amendments

We may amend these Terms at any time by posting the revised version on our website. Continued use of the Service after changes constitutes acceptance of the new Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising shall be subject to the exclusive jurisdiction of the Kenyan courts.
